Maddesi\u2019ne dayand\u0131rmakta. Bu nedenle Asya Kat\u0131l\u0131m Bankas\u0131 A.\u015e.\u2019nin imtiyazl\u0131 paya sahip ortaklar\u0131n paylar\u0131na ili\u015fkin temett\u00fc d\u0131\u015f\u0131ndaki ortakl\u0131k haklar\u0131n\u0131n TMSF taraf\u0131ndan kullan\u0131lmas\u0131 karar\u0131n\u0131n anla\u015f\u0131labilmesi i\u00e7in bu h\u00fckm\u00fcn de\u011ferlendirilmesi gerekmekte.<\/p>\n<p>Bankac\u0131l\u0131k Kanunu\u2019nun 18\/5. Maddesi hangi hallerde uygulanabilir?<\/p>\n<p>Bu maddeye g\u00f6re:<\/p>\n<p>\u201c<em>Nitelikli paya sahip olan ortaklar\u0131n kurucularda aranan nitelikleri ta\u015f\u0131mas\u0131 \u015fartt\u0131r. Kurucularda aranan nitelikleri kaybeden nitelikli paya sahip ortaklar temett\u00fc d\u0131\u015f\u0131ndaki ortakl\u0131k haklar\u0131ndan yararlanamaz. Bu halde, di\u011fer ortakl\u0131k haklar\u0131 Kurumun bildirimi \u00fczerine Fon taraf\u0131ndan kullan\u0131l\u0131r. Bu ortaklar sermayedeki do\u011frudan ve dolayl\u0131 paylar\u0131 y\u00fczde onun alt\u0131na d\u00fc\u015fene kadar r\u00fc\u00e7han haklar\u0131n\u0131 kullanamazlar.<\/em>\u201d<\/p>\n<p>Buna g\u00f6re, Bankalar\u0131n nitelikli (imtiyazl\u0131) paya sahip olan ortaklar\u0131, kurucularda aranan nitelikleri kaybetmeleri halinde, BDDK karar\u0131 ile, temett\u00fc d\u0131\u015f\u0131ndaki bu paylar\u0131n ortakl\u0131ktan kaynaklalanan haklar\u0131 TMSF taraf\u0131ndan kullan\u0131l\u0131r. Bu kapsamda nitelikli pay\u0131n ve kurucularda aranan niteliklerin neler oldu\u011fun belirlenmesi \u00f6nem arz etmektedir.<\/p>\n<p>Bankalar\u0131n nitelikli (imtiyazl\u0131) pay\u0131 nedir?<\/p>\n<p>Bir Bankan\u0131n sermayesinin veya oy haklar\u0131n\u0131n do\u011frudan veya dolayl\u0131 olarak %10 veya daha fazlas\u0131n\u0131 te\u015fkil eden paylar ile bu oran\u0131n alt\u0131nda olsa dahi y\u00f6netim kurullar\u0131na \u00fcye belirleme imtiyaz\u0131 veren paylar nitelikli pay olarak de\u011ferlendirilmektedir. Bu nedenle, Bankalarda %10 veya daha fazlas\u0131n\u0131 te\u015fkil eden pay ile %10 paydan a\u015fa\u011f\u0131da olsa da y\u00f6netim kuruluna \u00fcye belirleme konusunda imtiyazlar tan\u0131yan pay sahipleri, kurucularda aranan nitelikleri ta\u015f\u0131mas\u0131 gerekmektedir.<\/p>\n<p>Bankalarda kurucularda ve nitelikli pay sahiplerinde aranan nitelikler nelerdir?<\/p>\n<p>Bankac\u0131l\u0131k Kanunu\u2019nun 18. Maddesi be\u015finci f\u0131kras\u0131 h\u00fckm\u00fc gere\u011fi gerek nitelikli pay sahiplerinde gerekse kurucular\u0131nda ayn\u0131 nitelikler aranmaktad\u0131r. Bu nitelikler ise Bankac\u0131l\u0131k Kanunu\u2019nun 8. Maddesi\u2019nde \u015fu \u015fekilde d\u00fczenlenmi\u015ftir:<\/p>\n<ol>\n<li>2004 say\u0131l\u0131 \u0130cra ve \u0130flas Kanunu h\u00fck\u00fcmlerine g\u00f6re m\u00fcflis olmamas\u0131, konkordato il\u00e2n etmi\u015f olmamas\u0131, uzla\u015fma suretiyle yeniden yap\u0131land\u0131rma ba\u015fvurusunun tasdik edilmi\u015f olmamas\u0131 ya da hakk\u0131nda iflas\u0131n ertelenmesi karar\u0131 verilmi\u015f olmamas\u0131,<\/li>\n<li>Bu Kanunun 71\u2019inci maddesi uygulanan bankalarda veya bu Kanunun y\u00fcr\u00fcrl\u00fc\u011fe girmesinden \u00f6nce Fona devredilmi\u015f olan bankalarda nitelikli paya sahip olmamas\u0131 veya kontrol\u00fc elinde bulundurmamas\u0131,<\/li>\n<li>Tasfiyeye t\u00e2bi tutulan bankerler ile irad\u00ee tasfiye haricinde tasfiyeye t\u00e2bi tutulan finansal kurulu\u015flarda, faaliyet izni kald\u0131r\u0131lan kalk\u0131nma ve yat\u0131r\u0131m bankalar\u0131nda, ortaklar\u0131n\u0131n temett\u00fc hari\u00e7 ortakl\u0131k haklar\u0131 ile y\u00f6netim ve denetimi Fona intikal eden veya bankac\u0131l\u0131k yapma ve mevduat ve kat\u0131l\u0131m fonu kabul etme izin ve yetkileri kald\u0131r\u0131lan kredi kurulu\u015flar\u0131nda, Fona\u00a0 intikalinden\u00a0 veya bankac\u0131l\u0131k yapma ve mevduat ve kat\u0131l\u0131m fonu kabul etme izin ve yetkileri kald\u0131r\u0131lmadan \u00f6nce nitelikli paya sahip olmamas\u0131 veya kontrol\u00fc elinde bulundurmamas\u0131,<\/li>\n<li>Taksirli su\u00e7lar hari\u00e7 olmak \u00fczere affa u\u011fram\u0131\u015f olsalar bile m\u00fclga 765 say\u0131l\u0131 T\u00fcrk Ceza Kanunu ve di\u011fer kanunlar uyar\u0131nca a\u011f\u0131r hapis veya be\u015f y\u0131ldan fazla hapis, 5237 say\u0131l\u0131 T\u00fcrk Ceza Kanunu ve di\u011fer kanunlar uyar\u0131nca \u00fc\u00e7 y\u0131ldan fazla hapis cezas\u0131yla cezaland\u0131r\u0131lmam\u0131\u015f olmas\u0131 veya m\u00fclga 3182 say\u0131l\u0131 Bankalar Kanunu\u2019nun, bu Kanunla y\u00fcr\u00fcrl\u00fckten kald\u0131r\u0131lan 4389 say\u0131l\u0131 Bankalar Kanunu\u2019nun, bu Kanunun ve 2499 say\u0131l\u0131 Sermaye Piyasas\u0131 Kanunu\u2019nun ve \u00f6d\u00fcn\u00e7 para verme i\u015fleri hakk\u0131nda mevzuat\u0131n hapis cezas\u0131 gerektiren h\u00fck\u00fcmlerine muhalefet yahut m\u00fclga 765 say\u0131l\u0131 T\u00fcrk Ceza Kanunu, 5237 say\u0131l\u0131 T\u00fcrk Ceza Kanunu veya di\u011fer kanunlar uyar\u0131nca basit veya nitelikli zimmet, zimmet, irtik\u00e2p, r\u00fc\u015fvet, h\u0131rs\u0131zl\u0131k, doland\u0131r\u0131c\u0131l\u0131k, sahtecilik, inanc\u0131 k\u00f6t\u00fcye kullanma, dolanl\u0131 iflas gibi y\u00fcz k\u0131zart\u0131c\u0131 su\u00e7lar ile istimal ve\u00a0 istihl\u00e2k ka\u00e7ak\u00e7\u0131l\u0131\u011f\u0131 d\u0131\u015f\u0131nda kalan ka\u00e7ak\u00e7\u0131l\u0131k su\u00e7lar\u0131, resm\u00ee ihale ve al\u0131m sat\u0131mlara fesat kar\u0131\u015ft\u0131rma, karapara aklama veya Devletin \u015fahsiyetine kar\u015f\u0131 i\u015flenen su\u00e7lar ile Devlet s\u0131rlar\u0131n\u0131 a\u00e7\u0131\u011fa vurma, Devletin egemenlik alametlerine ve organlar\u0131n\u0131n sayg\u0131nl\u0131\u011f\u0131na kar\u015f\u0131 su\u00e7lar, Devletin g\u00fcvenli\u011fine kar\u015f\u0131 su\u00e7lar, Anayasal d\u00fczene ve bu d\u00fczenin i\u015fleyi\u015fine kar\u015f\u0131 su\u00e7lar, milli savunmaya kar\u015f\u0131 su\u00e7lar, Devlet s\u0131rlar\u0131na kar\u015f\u0131 su\u00e7lar ve casusluk, yabanc\u0131 devletlerle olan ili\u015fkilere kar\u015f\u0131 su\u00e7lar, vergi ka\u00e7ak\u00e7\u0131l\u0131\u011f\u0131 su\u00e7lar\u0131ndan veya bu su\u00e7lara i\u015ftirakten h\u00fck\u00fcml\u00fc bulunmamas\u0131,<\/li>\n<li>Gerekli mal\u00ee g\u00fc\u00e7 ve itibara sahip bulunmas\u0131,<\/li>\n<li>\u0130\u015fin gerektirdi\u011fi d\u00fcr\u00fcstl\u00fck ve yeterlili\u011fe sahip olmas\u0131,<\/li>\n<li>T\u00fczel ki\u015fi olmas\u0131 h\u00e2linde, risk grubu ile birlikte ortakl\u0131k yap\u0131s\u0131n\u0131n \u015feffaf ve a\u00e7\u0131k olmas\u0131,<\/li>\n<li>Bankalar\u0131n t\u00fczel ki\u015fi kurucu ortaklar\u0131n\u0131n do\u011frudan veya dolayl\u0131 olarak nitelikli paya sahip ger\u00e7ek ki\u015fi ortaklar\u0131n\u0131n yukar\u0131daki belirtilen 1.-6. yer alan t\u00fcm \u015fartlar\u0131 ta\u015f\u0131mas\u0131.<\/li>\n<\/ol>\n<p>Bankac\u0131l\u0131k Kanunu\u2019nun 18\/5. Maddesi h\u00fckm\u00fc gere\u011fi, Bankalar\u0131n yukar\u0131da say\u0131lan \u015fartlardan birini yitiren %10 veya daha fazlas\u0131n\u0131 te\u015fkil eden pay ile %10 paydan a\u015fa\u011f\u0131da olsa da y\u00f6netim kuruluna \u00fcye belirleme konusunda imtiyazlar tan\u0131yan pay sahiplerinin temett\u00fc d\u0131\u015f\u0131ndaki haklar\u0131 TMSF taraf\u0131ndan kullan\u0131lacakt\u0131r.<\/p>\n<p>BDDK\u2019n\u0131n Bankac\u0131l\u0131k Kanunu\u2019nun 18\/5. Maddesi h\u00fckm\u00fc kapsam\u0131nda 2011 y\u0131l\u0131ndaki Arap T\u00fcrk Bankas\u0131 A.\u015e. karar\u0131<\/p>\n<p>BDDK, 2011 y\u0131l\u0131nda Arap T\u00fcrk Bankas\u0131 A.\u015e.\u2019de % 62,37 oran\u0131nda nitelikli pay sahibi olan ve hakim hissedar konumunda bulunan Libyan Foreign Bank m\u00fclkiyetinde bulunan hisselere ait temett\u00fc d\u0131\u015f\u0131ndaki ortakl\u0131k haklar\u0131n\u0131n, BM G\u00fcvenlik Konseyi\u2019nin 1970 ve 1973 say\u0131l\u0131 Kararlar\u0131, ilgili Bakanlar Kurulu Karar\u0131n\u0131n ve kurucular\u0131n gerekli itibara sahip olmas\u0131 \u015fart\u0131n\u0131n kalkm\u0131\u015f oldu\u011fu gerek\u00e7esiyle, BM G\u00fcvenlik Konseyi\u2019nin 1970 ve 1973 say\u0131l\u0131 Kararlar\u0131 ile ilgili Bakanlar Kurulu Karar\u0131n\u0131n uygulamas\u0131 LFB a\u00e7\u0131s\u0131ndan sona erdirilinceye kadar, TMSF taraf\u0131ndan kullan\u0131lmas\u0131na, Bankac\u0131l\u0131k Kanunu\u2019nun 18\/5.
